Top management and governing boards of Multinational Corporations (MNC) are under pressure to cultivate good corporate governance practices by investors, exchanges and regulators. There are also pressure from NGOs and other groups for MNC to cultivate corporate social responsibility. The issues of corporate governance by MNC are complicated by the complex nature of MNCs. MNCs operate across various types of economies and legal systems involving different approaches to corporate governance and CSR and also varying levels of governmental corruption (Duane Windsor 2009). Tightening corporate governance in MNCs is very difficult. The complex nature of MNCs makes it difficult to have a set of corporate governance codes that may be applicable to all MNCs and in all situations. Some examples of management abuses which led to the promulgation of corporate governance codes in MNC include the HealthSouth Corporation abuses. HealthSouth was accused of overstating earnings by at least $1.4 billion from 1999 to 2002, to meet analyst targets. CEO received a salary of $4 million, cash
