There is an implied-in-fact contract between the parties. Landsberg sent, at the request of S&R, the strategy book he had written. His intent was only to gain permission from S&R to use their trademark “Scrabble” in the strategy book so that he could market and sell the book. There were implied publication negotiations regarding the book between the two parties which broke down after an extended period of time. It is a little more than a coincidence that S&R released their own strategy book modeled after the book Landsberg had written. Case 9.4 – Objective Theory of Contracts

Unformatted text preview: Question 1: Who owns the money found in the safe? It is clear that the Mitchells own the money found in the safe. They bought the safe at an auction where the auctioneer let them know that there was no key found for the internal compartment of the safe and made no comment that the contents were not to be included in the sale of the safe. Without having that statement made, the Mitchells understood that they were paying for and taking possession of the safe and its contents. As a reasonable person, I would conclude this to be the case as well since the estate contracted the auction house to offer the items for sale and the auctioneer accepted the offer made by the Mitchells....
