The Parties: Gilbert Steel ltd. (Plaintiff), University Construction Ltd. (Defendant) Case history Trial Judge The facts On September 4, 1969, Gilbert Steel Ltd. and University Construction Ltd. had a contract in which Gilbert had to deliver fabricated steel to University Construction for apartment buildings to be constructed. The projects were Falvin, Tecate and University Projects. Gilbert supplied steel to Falvin and Tecate but problems were aroused when the delivery for University Projects had to take place. Gilbert announced an increase in price of steel before University Projects’ second building, among the two building was built. The parties entered into a new contract on October 22, 1969. There was an oral agreement between two parties to pay the increased price on March 1, 1970. In addition to the oral agreement, Gilbert sent a written contract stating the increased price and two new clauses. The two new clauses contained agreements on things that hadn’t been talked about with University Construction Ltd. so it became unilateral. Therefore, the contract was not
