Bryan Whalen Blaw 3201 Sec. 12 11/6/07 MATHIS V. LIU United States Court of Appeals, Eighth Circuit, 2002. 276 F.3d 1027. FACTS Alex and Ching Liu own Pacific Cornetta, Inc. In 1997, a contract was entered into between Pacific Cornetta and Lawrence Mathis. Under the contract, Mathis agreed to solicit orders for Pacific Cornetta’s products from Kmart Corporation. Mathis would receive a commission of five percent on net sales in return for his service. The contract was terminable at any time by either party. The following year, Mathis entered into a one-year contract with John Evans. Under the terms of the contract, Evans was to act as Mathis’s agent and solicit orders from Kmart for the companies that Mathis represented, which included Pacific Cornetta. For his service, Evans would receive one percent commission on net sales. The terms of the contract states that either party could terminate the contract, but must do so by written notice, six months prior to the termination date.
