administration of justice.
 Control of company does not equal to commitment of fraud/ wrongdoing to

 Promoter / Organizer / Incorporator role

your mail
 Articles of Incorporation – birth certificate of your business
 Bylaws – company constitution
 Shareholders- owners
 Board of directors- high level decision makers.
 Does not issue day to day judgments.
 Executive officers – daily decision makers
 Fiduciary duties and Business Judgment Rule (BJR) and trust

 Failure to perform the absolute moral minimum may cause violation of
these laws and legal trouble.
 Documents are how tell that you have a business.
 Bylaws- (LLC) has operating agreement but it’s necessarily the same thing
in great detail.
