Actavis and Allergan Inc.’s Merger 2 Executive Summary This study aims at discussing the development phases of mergers and acquisition. It also explains the motives for mergers and acquisition using the case of the merger between Actavis and Allergan Inc. The study also identifies the reasons for Actavis and Allergan’s merger and what it involved. . The study finds out that the motives for M&A include strategic, economic, and market motives. It also realizes that the phases of M&A involve corporate strategy evolution organizing for acquisition, deal structuring and negotiations, post-acquisition integration, and post-acquisition audit and organizational learning. Lastly, the study reveals that culture and institutional differences have significant effects on the HR integration of the merging firms and makes recommendations for future research on the issue.

Explain the way in which culture and institutional differences impact on HR integration in your chosen M&As/ IJVs. This report discusses the merger between Actavis and Allergan Inc., which occurred in 2015. Actavis acquired Allergan, Inc. in equity and cash transaction valued at around $70.5 billion (Allergan 2014). The study reveals the developmental phases of the merger and acquisition, the reasons for the merger, and the effects of institutional differences and culture on the human resource integration between the two companies. Aims and Objectives of the Study The study focuses on identifying the reasons for the merger between Actavis and Allergan, Inc. It also seeks to determine the development phases of the two companies’ merger and acquisition. Additionally, the study aims at revealing the ways in which institutional differences and culture affected the human resource integration between the two companies. Lastly, the study focuses on identifying the variables that moderate the variances between the domestic strategies and international strategies, and evaluate the ever shifting context of international global human resource management.
