Lecture 8 October 6, 2016 Chapter 14 – Breach of Contract (“Remedies” not included although it is in the file on d2l) - Other things that end contracts: express repudiation - saying you want to end the contract. - Anticipatory Breach – one person/party in the contract leading the other to believe that the K is over. (They leave you hangin’.) - Substantial Performance – if a K is substantially (mostly) complete (~92%ish), and if a party walks away, it is not a full breach of K. They can plead substantial performance of the money owed/ on K is reduced by % of work incomplete. - Warranties are minor issues that if they fail, do not rob you of benefit of K – (sue for $(cost)). - Condition – is a fundamental issue if failure on issue happens = end of K. - Fundamental Breach = breach of condition = end of K - right to sue for costs + losses. - Exemption Clause you can avoid liability for breach of K if you exclude certain events from creating liability.
