Part A Students should discuss forming an LLC as it has single taxation and limited liability. The brothers can give themselves a majority of the membership interests/shares. An LLC is also a good form of business as it can be merged into a corporation in most states in the event that the business grows and they want to do a public stock offering. The university and the six friends have a claim regarding an equity interest in the business. There are issues regarding using the university’s resources (i.e., the student directories, beginning a for-profit enterprise on the university’s computer system). The students should also discuss issues as to how the platform is used regarding the sharing of proprietary information and/or intellectual property belonging to others.
