A NNOTATED L ETTER A GREEMENT March 11, 2018 Carbolic-Oceanic, Inc. (“COI”). 1040 Corporate View Road Sandbridge, Virginia, 23456 Izabelle Rudolph 1000 Residence Circle Unit 23 Isle of Palms, South Carolina, 29451 Dear Ms. Rudolph, On behalf of COI, we would like to extend you and invitation to become part of our Sales team. We were most impressed with your credentials and the documents you provided containing the details referencing your performance. Enclosed are two copies this this agreement and a copy of COI’s 2016-2020 Employee Handbook. Focus on the section which specifically outlines the standards exclusive of our Sales Representatives. The following are the terms of the agreement which were discussed referencing the terms of your employment with COI. Article I. Commencement Date and Term: January 1, 2019 for a period of 18 months. Article II. Job Title : Sales Representative for COI Eastern Seaboard. COI cannot unilaterally and significantly change an employee’s job title and duties; furthermore, this can only be done with mutual consent between both parties. Article III. Territory: COI’s “Eastern Seaboard” business territory, which includes the states of New York, New Jersey, Delaware, Maryland, Virginia, North Carolina, and South Carolina. Article IV. Job Description : As a Sales Representative for COI, you will have a lot of autonomy. COI wants to ensure that as a representative you achieve the results; therefore, there is something existing in the contract describing the expectations for the kinds of effort put for selling COI’s products to existing customers and developing new ones. Handbook under Sales Representatives outlines in detail all responsibilities and standards expected in addition to COI’s promises to their Sales force. Article V. Compensation: An annual base salary of $70,000, payable in weekly installments of $1,320.75. Weekly salary payments are processed every Friday. However, all employees, including sales representatives, are required to submit a timesheet via COI’s Human Resources Document Management System. The timesheet is due on the employee’s last working day for each week. Generally, this is a Friday. COI requires that they submit that timesheet to receive their paycheck for the following week. Additionally, COI would like you to receive a quarterly bonus, in an amount based on 2% of your total sales for the previous quarter, payable on the 10th day of each quarter, unless that day falls on a Saturday or Sunday, in which case it would be due the next business day. Sales representatives are provided a corporate credit card which they can use to pay for their “business expenses” (not personal expenses), but only if the expenses are reasonable and appropriate. Additionally, a corporate gas card will be issued. Gas cards are only active on weekdays (Monday-Friday). Always use your own PIN number and current vehicle mileage when purchasing fuel. Any infraction associated with the use of corporate property can result in termination.
