Student Name Legal Memo Application of Laws to Relevant Facts The Howell Company learned about the secret process used by Greene’s Jewelry to produce Ever-Gold. The company changed the ideas of the Howell Company for legal reasons, and it went wrong for them. The main issue for consideration, in this case, is the actions of Jennifer Lawson that amounted to breach of Confidentiality Agreement that she entered into with the company before employment. The legal team at Greene’s Jewelry filed a lawsuit against Jennifer Lawson, a former worker at the company for breach of the signed contract. The agreement precisely stated that a worker cannot use the obtain information from Greene Company for commercial gains. At the time, Jennifer Lawson was a member of the company’s research team and was thus part of very crucial research projects. Lawson also had access to drafting letters which were not returned to the patent attorney of Greene Company. The issue of contention is that Lawson was also employed by Howell Company. From her employment with Howell Company, the organization has access to knowledge of the secret process used in Greene’s company to produce the Ever- gold. Although the formula was changed, the idea is still that of the company. Jennifer Lawson is also suing Greene’s company for wrongful termination of the contract. She also suffered the same fate with Howell Jewelry Company. Lawson was relieved of her duties before Greene’s company got information related to her pregnancy. Howell Jewelry Company is encountering a downsizing process and thus does not require junior executive secretaries. According to the NH Laws , New Hampshire workers are protected from termination on various circumstances. This means that employers cannot dismiss workers for reasons related to

discrimination. At the same time, employers cannot fire workers when they exercise their rights.
