Goods are defined as a movable, tangible personal property. Under the Uniform Commercial Code a horse is considered a good. According to the Uniform Commercial Code (UCC), every horse with a value of $500 or more should be subject to a written bill of sale, regardless of state. This specifically addresses relevant statutes in California, Florida, Kentucky because they require that a bill of sale be in writing. Florida has other legal requirements such as including the name and address of the buyer and seller, the name of the horse, the horse’s sire and dam, the breed and registry status of the horse, the age of the horse, the date of sale, warranty and a confirmatory statement. Because the UCC allows for contracts with “gap-filler” provisions for those legal requirements buyers need protection from sellers with implied warranties. This is the reason Florida forces sellers to include a disclaimer statement with their bill of sale. Determining which states law governs the sale is the state where the “closing” occurred.
