F Y I F Y I F Y I F Y I F O R Y O U R I N F O R M A T I O N Post-SOX Financial Disclosure Statement to Investors: Minimum Requirements This release is meant to be informational in nature with regards to the financial disclosure statement requirements are prescribed by the Sarbanes-Oxley Act of 2002 (SOX) and the Securities and Exchange Commission (SEC) in the post SOX era. The need for such information is made applicable by our impeding Initial Purchase Option (IPO) due to be announced within the next 60 days. Subsequently, our organization will fall under the authority of this legislation making it imperative that these requirements are fully understood and applied. As stated above there exists the need to fully understand what requirements our organization must adhere to regarding financial disclosure statements to investors. To begin, multiple disclosure requirements are listed in SOX. Section 401 of SOX outlines the requirements linked to periodic report disclosures. This outline includes accuracy as it pertains to the financial reports and disclosure of any material adjustments made to financial statements. Also included is the requirement to disclose any transaction that would be considered “off balance sheet”. Such transaction include, but is not limited to, arrangements, contingent obligations, and any
