Audit committees are directly responsible for auditor appointment, compensation, and oversight of auditor’s work. Auditors must report directly to audit committees. Audit committee members must be independent and avoid conflicts of interest such as accepting consulting fees or being affiliated with company or subsidiaries in any manner other than in member’s capacity as board member. Audit committees must have procedures in place to address complaints (both open and anonymous) regarding accounting, internal control, or auditing issues. Audit committees must provide protection for whistle blowers and will have the power to seek legal council.
