VILLANUEVA VS. SECRETARY OF JUSTICE
G.R. No. 162187. November 18, 2005.
Facts:
Refractories Corporation of the Philippines (RCP), represented
by its Senior Vice President Criste Villanueva, the petitioner, and
Assistant General Manager Jesus Borgonia, had a conference with
Hamburg Trading Corporation (HTC), represented by its President
Horst-Kessler Von Sprengeisen, the private respondent, and Sales
Manager Dennis Gonzales. The conference ensued to come up with
an agreement that HTC shall reform its price policy of its
importation and sale of refractory bricks from Germany to conform
to the provision of RA 7843.
Thereafter, Borgonio prepared the compromised agreement
which was signed by Borgonio and petitioner. It was delivered to the
private respondent for signature, but it was not signed. Borgonio
revised the agreement by inserting the phrase “based on the
findings of the BIS” and then signed by Borgonio and petitioner. It
was delivered to the private respondent and then it was signed by
him.
