Lecture 1 The Core Learning Outcomes addressed this week are: Demonstrate the ability to brief a case. Examine the legal requirements for contract formation. (In other words, what makes a contract enforceable in court?) Describe basic concepts of contracts. Other Key Concepts: Chapter 15: Key terms: Illegality, non-competition clauses, exculpatory clauses , contracts of adhesion, Unconscionability: what is the difference between procedural and substantive unconscionability? (fine print, high pressure versus oppressive contract terms). How can a contract be illegal? by statute or by violating public policy. What does that mean? Is it still enforceable in court? Not usually. see p 406-409 for exceptions. Chapter 16: Key terms: history and purpose of the Statute of Frauds , parole evidence rule, integration, merger clause Chapter 17: Key terms: assignment of a right, delegation of a duty, obligor, obligee, assignor, assignee, subassignee, third party beneficiaries, creditor beneficiaries, donee beneficiaries.
