Contract Creation and Management 2 Introduction ( Diane ) Span Systems is a highly recognized leader in the development and implementation of banking software. Being recognized as a leader, one of Germany’s largest banks Citizen- Schwartz AG (CS), has solicited the expertise of the company to produce needed software for the bank. As a result, both Span Systems and Citizen-Schwartz entered into a contractual agreement to produce transaction software into the banking industry. The initial agreement entailed a contract for one year worth $6 million dollars upon completion. An additional incentive for Span to complete the project successfully would be a supplementary contract to produce the e- CRM software for Citizen Schwartz. However, the initial business relationship has been strained. The contract was plagued with various project inconsistencies with the quality of deliverables, unacceptable software containing numerous defects, and relentlessly being behind in the schedule for eight months. To make matters worse, the details of the contract were ambiguous leading each company to blame the other for the overall lack of performance. Because of the dispute, Span Systems is faced with the possibility of Citizen-Schwartz dissolving the contract before completion. To rectify the situation at hand, both companies must reach a consensus and salvage the relationship to produce the software. Since time and resources have been invested over the past few months, each company will stand to lose a considerable amount of revenue that will eventually affect the bottom line. As a conclusion to the conflict, all viable options must be researched and identified to solidify the continued growth and direction of Span Systems and Citizen-Schwartz for the successful continuation of each initiative set-forth.
