Problem 6 (Text: Ch. 2) Products was incorporated in Ontario in 1932, but it operated from Evanston, Illinois where its directors’ and shareholders’ meetings were held. Its statutory head office was in Toronto at the same address as that of the Crush Group of companies of which it was one. The company was inactive from 1946 to 1968. In 1968 the Crush Group learned that the Coca Cola Company, which had licensed bottlers in Iraq, had fallen into disfavour with the Government of that country as a result of its trade with Israel. This opened the way for the Crush Group to negotiate a franchise in Iraq with an agency of the Iraqi Government for the purchase of concentrates. The agreement was signed in Evanston by Products which had been reactivated to conceal United States involvement in the agreement. Products’ policies were set by a Board of Directors in Evanston and the operations of the company were generally conducted from that city.
