Chapter 20 1. Scope of UCC Article 2 a. Article 2 applies to the “sales of goods” b. A “sale” is the passing title of “goods” to/from a “merchant” (seller or buyer) for a price (money, goods, services) i. “Goods” are tangible and movable (not real estate) ii. Does not apply to real estate unless there is a “good” that can be severed by seller. If the good is severed by the buyer, then UCC2 does not apply iii. Generally contracts for services are not governed by ucc art 2 iv. UCC staud of frauds requires a quantity term c. A merchant has special business expertise and is not a casual buyer/seller i. (1) a person who deals in goods of the kind involved in the contract ii. (2) a person who, by occupation, holds himself or her-self out as having knowledge and skill peculiar to the practices or goods involved in the transaction iii. (3) a person who employs a merchant as a broker, agent, or intermediary d. A merchant for one type of goods is not necessarily a merchant for another type 2. Score of article 2a – leases a. Contract for lease of personal goods between a lessor and a lessee b. Consumer leases (total payments less than $25,000)
