SEC Rule 10b-5 The Securities Exchange Commission is “an independent regulatory agency with the function of administering the 1933 and 1934 acts.”(R1) The major responsibilities of the SEC are regulating trade on national and regional securities exchanges as well as the over the counter markets, investigating frauds involving securities, regulating activities of brokers, dealers, and investment advisors and requiring them to register, supervising the activities of mutual funds, and recommending administrative sanctions, injunctive remedies, and criminal prosecutions against violators. Section 5 of the SEC Act of 1933 requires all securities be registered before it’s offered to the public unless it is covered under an exemption. The registration statement must be written in English and describe the following: the securities being sold and how they are related to the other capital securities of the registering party, the property and business of the corporation, the management of the corporation and any interests of the
