Unit 9 Case Analysis 2 The Securities Exchange Commission (SEC) is an independent regulatory agency with the functions of administering the 1933 and 1934 acts (Jentz &Miller, 2008 p. 565). The mission of the SEC is to protect investors, maintain fair, orderly, and efficient markets, and facilitate capital formation ("U.S. securities and," 2011). Section 5 of the SEC Act of 1933 requires all securities be registered before it is offered to the public unless it is covered under an exemption (Jentz & Miller, 2008 p. 567). It must describe the securities being sold and how they are related to the other capital securities of the registering party. Dakota Gasworks would be required by the SEC to register their securities because they do not fall under any registration exemptions of the SEC.
