ADM 3360 A Kevin Spence 4476793 Chapter 29: Case 1 In the case of MacIntosh and Occidental a few legal issues need to be discussed to determine who is actually liable for the $10,000 outstanding advertising fees that are owed to Occidental. Even though Kellerman had breached his fiduciary duty to MacIntosh and deceived her to profit at her expense, he is not the one who is liable in this situation. The liability falls onto MacIntosh. MacIntosh is liable for three main reasons. The first reason that MacIntosh is liable is because when MacIntosh was still deciding if she wanted to invest her money with Kellerman in his corporation (AJP Enterprises), she was given the books of accounts and other records that related to AJP Enterprises. This gave her the opportunity to see the state of the corporations’ financial operations and this also gave her an opportunity to realize that the corporation she was investing her money in was non- existent. MacIntosh agreed with the records and failed to recognize any problems with
