CONFIDENTIAL AND PRIVILEGED MEMORANDUM TO: Boeing FROM: Joseph Volk DATE: February 12 2011 RE: Legal Issues Concerning Settlement Agreement BACKGROUND You have asked that our firm review the Settlement Agreement, and describe any material changes that we feel should be included to better protect Boeing’s interests as it seeks to settle claims by the U.S. Attorneys Office in regards to the EELV and Druyan Matters. In our analysis, we have identified two possible areas for improvement in the contract. We have also evaluated the contract in light of your concerns regarding your current compliance resources. ISSUES First, as you may have noticed, the agreement does not bring this matter to a close. Boeing would be required to continue its cooperation with several agencies that are currently investigating the circumstances surrounding the EELV and Druyan Matters. (see Para 14) Given the size of the proposed settlement, this seems to be an alarming omission. If the other agencies could be made party to this agreement
