Ralcorp Holdings Inc. Executive Summary The pet food company, Ralston Purina, formed Ralcorp Holdings Inc. as a result of a 1994 spin-off. Because of some other interests that Ralston Purina had in Ever Ready Battery and Purina pet foods units, the company decided to spin off its cereal, Beech-Nut baby food, cracker, cookie, resort and coupon redemption businesses. The units formed a new independent company, which is now known as Ralcorp Holdings Inc. The spin off was only supposed to benefit the cereal business, but Ralcorp also became the recipient of Ralston’s Colorado ski resorts and the coupon redemption business. The spin off was tax free to Ralston Purina shareholders, who received one share of Ralcorp for every three shares of Ralston Purina Group stock they owned (The Carriage House Companies, Inc.). Today, through internal growth and strategic acquisitions, Ralcorp has become the leading producer of private label or store brand foods, and a major producer of foodservice products (Ralcorp Holdings-Investor Relations). Ralcorp Holdings, Inc. is a Missouri corporation incorporated on October 23, 1996. Their principal executive offices are located at 800 Market Street, St. Louis, Missouri. Ralcorp Holdings Inc. primary focus is the manufacturing, distribution and marketing of store brand or private label food products. The company produces a number of different value brands and store brand foods which are sold under the individual labels of grocery stores, mass merchandise and drug store retailers. In addition, Ralcorp Holdings Inc. produces frozen bakery products that are sold to restaurants, in-store bakeries and other foodservice customers. The company operates five business segments which include, Ralston Foods (cereals), Bremner (crackers and cookies), Nutcracker/Flavor House (snack nuts), Ralcorp Frozen Bakery Products (frozen griddle 1

products), and Carriage House (dressings, syrups, jellies and sauces and snack nuts and candy) (Ralcorp Holdings-Investor Relations). Ralston foods have positioned itself as the industry leader in private ready-to-eat and hot cereals. It currently supplies over 50 varieties of cereals. In addition, Bremner is the leader in store brand crackers and is the largest supplier of private label crackers and cookies in America. Not only has Ralcorp been the leader in private label cereals and crackers, it has also earned the reputation of being a leading maker of high-quality frozen bakery products for foodservice customers, in-store bakery, and retail and club channels. Ralcorp Holdings Inc. bakery products are also one of the largest providers of pre-baked cookies to the in-store bakery channels and the largest private label manufacturer of waffles and pancakes. Currently, Ralcorp bakery products operate nine plants in the U. S. and two in Canada (Ralcorp Holding-Investor Relations).
