Assignment for Wednesday, Feb. 23 Denise Kuprionis, President of The Governance Solutions Group, will be our guest in the Farmer School on Wednesday, February 23. Her company consults to other organizations on Board of Director issues as they relate to principles of good corporate governance. As part of her visit, she will be addressing BUS 101 students in their classrooms that day. To prepare for her visit and classroom discussion, please prepare the following assignment: 1. Review the reading on Corporate Governance in Chapter 14. Then answer the following questions: a. What is corporate governance? The system by which a company is governed, just as in any country, and the policy, strategy, and balance is determined. It is meant to respond to the interests of its stakeholders and of the company. b. What are the principles of good corporate governance? Select outside directors to fill positions Hold open elections for members of the board Appoint an independent lead director Compensation linked to company performance
