Contract Laws 4. Contract Law – What contract law issues could your business face? What types of contracts should your business have with its suppliers, customers, and even employees (employment law later will fill this out in greater detail) and owners (business formation law and agency law will fill this out in great detail)? A number of laws may affect the contents of a business contract, but many will surely be the subject of negotiations (Eisenberg, 2003). It is important for God’s Children to know the key issues when negotiating and preparing contracts to its suppliers, customers and employees. God’s Children could face contract law issues if the contract is difficult interpret and misunderstood due to ambiguous language in the contract. An example of this is the case of Rambo Associates versus South Tama County Community School District in Toledo, Iowa. It examines the existence of an express contract between a school district and an architect precluded the architect from using quantum merit to obtain payment for certain services (Loulakis & McLaughlin, 2008). The court found several ambiguities in the contract but concluded that South Tama authorized only the first phase of the work and the services for passing the bond issue (Loulakis & McLaughlin, 2008). The court ordered South Tama to pay $2,500 to Rambo on the breach - of - contract claim but denied the claim for unjust enrichment (Loulakis & McLaughlin, 2008). It also points out that
