Bryan Saul 0592-1297 VANDERBILT UNIVERSITY, Plaintiff-Appellee, v. GERRY DINARDO, Defendant-Appellant. Case Brief Facts of the Case: This case is being heard before an appellate court. Gerry DiNardo was the head coach for the Vanderbilt Football team. As his original 5-year contract was coming to an end, he signed a two-year extension to stay with the program. Following the signing of this extension, DiNardo was contacted by LSU and he subsequently accepted the LSU head coaching position. Vanderbilt is suing DiNardo for breach of section 8 of the extension, and seeking financial reimbursement for the remaining salary left on DiNardo’s contract. Issues: The court is seeking to determine whether section 8 of the extension is in fact a liquidated damages provision, and whether is it is an unlawful penalty. Originally the district court found that it is legal and demanded that DiNardo pay Vanderbilt $281,886.43. Rules: To establish that section 8 of the extension is a legal provision, the court reviewed
