Sole Proprietorship:  Based on one person alone having unlimited  liability for all debts of the business. General Partnership : Based on each of two or more partners sharing  in liability for all debts of the business. Limited Partnership:  Based on each of the general partners has  liability for debts of the business, but the limited partner’s exposure to  the debts are limited to contributions they have made. Corporations:  Provides limited liability for investors, creditors can  look only to the corporation’s assets for payment. “S” Corporation:  Treated as a partnership for tax purposes, but is  treated as a regular corporation for other purposes. Limited Liability:  Provides limited liability for all of its members, but  typically can be treated as a partnership for federal income tax  purposes (State laws may differ). Six Types of Business
