The deterring factors to be considered are potential personnel issues which may arise with the loss of strategic asset and skills, the fear of leaking private information from their customers and their business, the reality that the vendor cannot be exclusively working for the company and may business relationship with the competitors, the risk that the supplier of the services will compromise a lower level of technology for reducing their expenses or not hire the proper personnel in order to obtain a better profit from their contract.
