Chapter 10 E-Contract – a contract that is formed electronically Online Offers o Displaying the offer – full contract displayed in readable format o Provisions to include: Indicates what constitutes the buyer’s agreement (“I agree”) Specifying payment methods Refund and return policies Disclaimers of liability Remedies available to buyer How buyer information will be used Dispute settlement o Dispute-settlement provisions Forum-selection clause – a provision in a contract designating the court, jurisdiction, or tribunal that will decide any disputes arising under the contract Choice-of-law clause – disputes will be settled in accordance with the law of a particular jurisdiction (common for international contracts) Online Acceptances o Click-on agreement – an agreement when a buyer agrees to terms of an offer by clicking “I agree” o Shrink-wrap agreement – terms are expressed in a document located inside
