Article 1 It entails general provisions for the UCC. Its sections include, short titles, scope of articles, construction of UCC to promote its purpose and policies, construction against implied repeal where none of the UCC parts should be deemed to be impliedly repealed by subsequent legislation. The section on Severability implies that in case any clause of UCC or its application to an individual is invalid, this has no effect on the other functions of the UCC which could be achieved without the application being invalid. Part 2 deals with general definitions and principles of interpretation. Important terms in the Uniform Commercial Code are defined here. Concerning the time of undertaking an action, the UCC indicates that its reasonableness is dependent on the circumstances, purpose and nature of the action. For a lease transaction, security is created if the lessee pays to the lesser for the use and possession pf the goods which is a legal obligation to the terms of lease and the lessee cannot terminate the transaction. Through an agreement, the parties should set the standards for the performance of the obligations of care, good faith, diligence and, reasonableness, to be weighed where the standards do not manifest reasonably.

UCC AND TEXAS STATE CODE 4 Section 2 According to Martin et al (2017), an important development in Article 2 was done in 2013. This development involved formation decisions where both the buyer’s and the seller’s purchase orders confirmation disagreed to the terms and conditions of the other party. A dispute arose about the repayment of the failed business and the court ruled out a judgement that, because both parties have disagreed on the terms and conditions of the other, there would be no indemnity at all. Article 2 is all about sales, which requires that any sale of goods more than $500 cannot be enforceable by way of defence unless it is written and signed by both parties. All what is needed of the writing is to give an assurance that the oral evidence is authentic. The writing should not contain the material terms of the contract (if stated, should be in precise),time, price, place of payment place of delivery, any warrant and the quantity of the goods. In subsection (3) of section 2, contracts on sales of goods should be made in any manner that both parties recognize the existence of the agreement. Any offer to accept a contract is acceptable unless the offeror has made it clear that it is not acceptable. In case a shipment, through a notification, indicates that it has a defect, it is taken as intended to close the bargain. The seller can keep the shipment from operating as an acceptance if the seller indicates the shipment as non-conforming. Section 2.305 (Open Price Term) applies when the price term is left open during making the agreement where the partied do not intend for a binding agreement. In her article, Opportunistic Resales and the Uniform Commercial Code, Jennifer Martin (2016), says that sections 2-706 and 2-708 allows the seller to recover the value of replacement transactions and “...protect the seller by allowing a market based recovery.”
