Stakeholder Satisfaction The company must at least satiate many stakeholders if it is to be successful. This analysis can be handles in one of two ways. The first is to look at major events in the company’s past 10 years and determine how various stakeholders were affected by the event and what was required to satisfy them. The second is to look at primary stakeholders over the past 10 years and describe the pressure they put on the company over time and what they settled for. In either case a summary exhibit accompanying the description is required. Organizational Boundaries (Corporate Strategy, Alliances, M&A) The company has likely made use of various vehicles over the past 10 years. Identifying when these occurred describes the pacing of these moves. For each event, describe the vehicle used (in the process identify the companies it worked with) and why it was used at this point describes the staging. Then describe the impact of the use of that vehicle on the company’s arena, its economic logic, and its differentiators. A summary exhibit accompanying the description is required. 4

Draft 2012-03-11 Governance Governance deals with how the company is governed so that it operates in accordance with the law and in the best interest of investors. For your company, you are asked to look at stock, the board and the top management team. For the stock, look at whether it has dual class stock, the number of shares in each class and the voting rights of each. Also provide 10 years of stock price history, when possible, and explain what events drove its behaviour over that period. For the board, describe how many directors there are, how many are internal and how many are external, and how long they have been on the board. If possible, find an evaluation of how well governance consultants think the company is governed and why they think that. Finally, identify the CEO, when this person started in this position, and what was expected of them in the job (derived from why the prior CEO left the company and what the new one announced within a year of taking charge). Provide your judgement of how successful this person has been in the job and why. Sustainability As the plant becomes more populated, we all have to be concerned about its carrying capacity. Companies are recognizing this social concern and adjusting their behaviour so that they reduce the deleterious impact of their activities. Determine whether the company has policies dealing with and has undertaken activities addressing sustainability. Then describe these policies and practices and then compare them with those of either the industry or direct competitors. ISSUES OF STYLE - use plenty of titles and white space to separate items, making the text more readable - provide summary diagrams and tables frequently to support your explanations - provide tables of numbers as appropriate to demonstrate that you have numeric support for your arguments - the report needs to: - be typed in 12 point Times New Roman font - have single line spacing - be printed only on one side - be fastened with a single staple (no cover) - have a cover page identifying all team members, class section, and date - have a table of contents - have a list of references as end notes - have references provide using full and complete citations 5
