Apabila oleh suatu sebab jabatan anggota Direksi lowong, maka dalam waktu 30 (tiga puluh) hari setelah terjadi lowongan, harus diselenggarakan RUPS untuk mengisi lowongan tersebut. Selama jabatan itu lowong dan penggantinya belum ada atau belum memangku jabatannya, maka salah seorang anggota Direksi lainnya yang ditunjuk oleh Dewan Komisaris, menjalankan pekerjaan anggota Direksi yang lowong tersebut dengan kekuasaan dan wewenang yang sama. Jika pada suatu waktu, oleh sebab apapun perusahaan tidak mempunyai anggota Direksi, maka untuk sementara Dewan Komisaris berkewajiban menjalankan pekerjaan Direksi, dengan kewajiban dalam waktu selambat-lambatnya 30 (tiga puluh) hari setelah terjadi lowongan sudah menyelenggarakan RUPS guna mengisi lowongan tersebut. BOARD OF DIRECTORS The Board of Directors is a company organ who is collectively responsible for managing the Company in order to produce added value and ensure business continuity. The Company’s Board of Directors is obliged to make administration policies in general, both related to the Company or the Company’s business. Each member of the Board of Directors implements their duties and makes decisions in accordance with the segregation of duties and authorities stipulated in the Articles of Association and in compliance with the prevailing laws and legislation. Appointment and dismissal of members of the Board of Directors are conducted in the General Meeting of Shareholders (GMS). The Board of Directors reports to the GMS, which is the realization of accountability in the supervision of Company management in order to implement GCG principles. Term of Office The term of office of the Board of Directors is a maximum of 5 (five) years from the date of stipulation in the GMS, without prejudicing the rights of the GMS to dismiss members of the Board of Directors at any time. After the term of office ends, members of the Board of Directors may be reappointed by the GMS for one term of office. If for any reason there is vacant position in the Board of Directors composition, then within 30 (thirty) days after the vacancy occurs, a GMS must be held to fill the vacancy. As long as the position is vacant and the successor is not yet appointed or has not yet effectively served, then one of the other members of the Board of Directors appointed by the Board of Commissioners shall carry out the work of the vacant members of the Board of Directors with the same power and authority. If at any time, for whatever reason the Company does not have members of the Board of Directors, then for the time being the Board of Commissioners is obliged to carry out the work of the Board of Directors, with an obligation to hold a GMS in no later than 30 (thirty) days after the vacancy occurs.
