venture Lionsgate participated in is Pantelion Films. Pantelion is a joint venture with Grupo Televisa, S.A.B. and is designed to produce and distribute English and Spanish feature films to target Hispanic moviegoers in the U.S. This segment is one of the fastest growing segments in the U.S. moviegoer population. 99 The year of 2010 also marked the first time another entity expressed interest in acquiring Lionsgate Entertainment. The Icahn Group, which includes Carl Icahn and affiliates, launched an unsolicited tender offer to acquire all of Lionsgate's outstanding common shares. Management at Lionsgate had no interest in the offer and viewed it as a distraction for management and employees. It also viewed the offer as a distraction because it required the expenditure of significant time and resources, which could cause stock price to fluctuate significantly and, if it results in a change in control, could result in a significant change in business. The offer is rejected and till even now, Icahn Group continues to try to acquire Lionsgate. 100 In 2011, Lionsgate sold its interest in Maple Pictures Corp., Lionsgate’s Canadian distribution service, to Alliance Films Holdings Inc. for $35.3million. In other words, with this sale, Lionsgate managed to continue to generate revenues and profits while minimizing its risks. Finally, in 2012, Lionsgate acquired Summit Entertainment for $412.5 million. 102 With this acquisition, Lionsgate acquired Summit’s library of films and rights to the Twilight franchise. The Twilight franchise grossed $2 billion in worldwide receipts. Since the franchise is not over yet, there is still ongoing value in the franchise and the next film in the franchise alone is expected to generate at least $700 million in box office. 103 Major Event Date Impact on Stakeholders Things Done to Satisfy Stakeholders Resignation of Frank Giustra, founder and former Chairman of Board of Lionsgate May 2003 Major impact on the operations of the company, which could directly affect its shareholders, creditors, employees, and customers Continued to hire Jon Feltheimer as its CEO Issued 16,201,056 common shares at $2.05 to the public June 2003 Repurchase of Series A Preferred shares Repayment of indebtedness General business purposes Arbitration proceeding relating to distribution of a motion picture October 2003 Award in favour of the claimant for $0.3mil that was
