deemed waiver of notice of all business transacted thereat unless objection to lack of notice is raised before the business, of which proper notice was not given, is put to a vote. Section 11. Quorum. (a) Except as may be provided elsewhere, the representation in person or by proxy of those Unit Owners holding not less than twenty-five percent (25%) of the eligible Votes shall constitute a quorum. If a quorum exists at the begimting of a meeting, it shall be deemed present throughout the meeting and shall not be affected by the subsequent withdrawal of any Unit Owner. (b) The Council shall further have the power to adj oum meetings at which a quolUm is not present in accordance with the procedures established in Title 5, Subtitle 2, of the Corporations and Associations Attic1e of the Atmotated Code of Maryland as it is amended. (c) Once the Secretary determines that a quorum exists the existence of such quorum shall not be affected by the subsequent withdrawal from the meeting of any voting patticipant. 4

Any meeting of the Council may be adjoumed from time to time for periods not less than seven (7) days (unless adjoumed by vote pursuant to Al1ic1e II, Section II) by the majority vote of the Unit Owners represented at such meeting, regardless of whether a quolUm is present. Unless adjoumrnent under Article II, Section II is followed, any business which could be transacted properly at the original session of the meeting may be transacted at an adjourned session provided that a quorum is obtained, and no additional notice of such adjoumed session shall be required. Section 13. Proxies. Any member entitled to vote may appoint any other member or his lessee as his or her proxy, provided, however, that the provisions of the Act and any other applicable law regarding proxies and the voting of proxies are otherwise observed. To be valid, a proxy must be in wIiting, signed and dated by the Unit Owner giving the proxy and filed with the Secretmy prior to the opening of the meeting for which it is to be used. Presence ofthe member at the meeting for which a proxy is given shall automatically revoke the proxy. No proxy shall be valid for more than one hundred eighty (180) days following its issuance, unless grant~~ to the lessee ofthe unit. A proxy shall othelwise be valid until revoked by a written notice of revocation filed with the Secretary or after the death ofthe member or until the adjommnent of the first meeting held on or after the date ofthe proxy. A proxy may only vote as directed by the Unit Owner when voting for directors but may othelwise be appointed for purposes of meeting quorums and to vote for any other matters of business before the Council. Section 14. Voting.
